Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between your educational institution ("School", "you", "your") and XFocus AS ("Company", "we", "our", "us"), a company registered in Norway. By accessing or using the XFocus educational platform ("Service"), you agree to be bound by these Terms.

XFocus is exclusively available to educational institutions. We do not offer individual accounts or direct-to-consumer services. The person accepting these Terms represents and warrants that they have the authority to bind the educational institution to these Terms.

These Terms should be read in conjunction with our Data Processing Agreement, which governs the processing of personal data.

2. Service Description

XFocus is an educational platform designed to facilitate project-based learning. The Service provides tools for:

  • Class and project management
  • Student learning activities and collaboration
  • Task tracking and resource sharing
  • AI-assisted learning through "Tuning In" conversations
  • Educational content management

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. School Account and User Management

3.1 School Account

Each school receives a master account through which they manage their users. Schools agree to:

  • Provide accurate institutional information
  • Designate authorized administrators
  • Maintain current billing and contact information
  • Manage user access appropriately
  • Ensure compliance with data protection regulations

3.2 User Management Responsibilities

Schools are responsible for:

  • Creating and managing student and teacher accounts
  • Obtaining necessary consents for student users
  • Ensuring age-appropriate use of the Service
  • Managing user permissions and access levels
  • Removing users who no longer require access

3.3 Student Data Protection

Schools acknowledge that they are the Data Controller for all student personal data. Schools must ensure compliance with GDPR and applicable educational privacy laws, including obtaining appropriate parental consents where required.

4. User Roles and School Responsibilities

The Service provides different user roles that schools manage:

School Administrators:Manage school settings, user accounts, billing, and overall platform configuration for the institution.
Teachers:Create and manage classes, projects, and learning materials, monitor student progress, and facilitate learning activities.
Students:Access assigned classes and projects, submit work, and participate in learning activities as directed by teachers.

Schools are responsible for ensuring users only access features appropriate to their roles and that all users comply with these Terms.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Upload malicious software or harmful content
  • Harass, bully, or harm other users
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service's operation
  • Use automated systems or bots without permission
  • Share inappropriate or offensive content
  • Impersonate others or misrepresent your affiliation
  • Use the Service for commercial purposes without authorization

5.2 Content Standards

All content must be appropriate for an educational environment and comply with applicable laws. We reserve the right to remove content that violates these standards.

6. Content and Intellectual Property

6.1 School Content

Schools retain ownership of all educational content, student work, and other materials created and uploaded ("School Content"). By using the Service, schools grant us a limited, non-exclusive, royalty-free license to process, store, and display such content solely as necessary to provide the Service to the school.

6.2 Platform Content

All Service content, features, functionality, design, and intellectual property (excluding User Content) are owned by XFocus AS or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service become our property and may be used without compensation or attribution.

6.4 Data Processing Relationships

When educational institutions use the Service, they act as Data Controllers for student and educational data, while XFocus AS acts as Data Processor. Schools retain ownership and control over their data.

Educational institutions using the Service must agree to our Data Processing Agreement, which governs the processing of personal data in compliance with GDPR Article 28.

Individual users should refer to our Privacy Policy for information about how we process personal data.

7. Payment Terms

7.1 School Subscriptions

XFocus is provided on a subscription basis to educational institutions. Subscription fees are based on the number of users and are billed in advance on a recurring basis (monthly or annually). Fees are non-refundable except as required by law.

7.2 Payment Processing

Payment processing is handled by Stripe. By providing payment information, you authorize us to charge the applicable fees through our payment processor.

7.3 Price Changes

We reserve the right to modify subscription fees. Price changes will be communicated at least 30 days in advance and will take effect at the next billing cycle.

7.4 Refunds

Refunds are provided only as required by applicable law or at our sole discretion. Partial month refunds are not provided for cancelled subscriptions.

8. Disclaimers and Limitation of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XFOCUS AS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

9. Indemnification

The School agrees to defend, indemnify, and hold harmless XFocus AS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from:

  • The School's use or misuse of the Service
  • Violation of these Terms or applicable laws
  • Violation of any rights of students, parents, or third parties
  • School Content and user activities
  • Failure to obtain necessary consents or permissions

10. Termination

10.1 Termination by School

Schools may terminate their subscription by providing 30 days written notice. Upon termination, schools should export their data as we will anonymize all school data after a reasonable retention period.

10.2 Termination by Us

We may suspend or terminate your account immediately, without notice, for:

  • Violation of these Terms
  • Non-payment of fees
  • Conduct harmful to other users or the Service
  • Legal requirements or law enforcement requests

10.3 Effect of Termination

Upon termination, the School's access to the Service ceases immediately. We will provide the School with 30 days to export their data. After this period, all School data will be anonymized and maintained in non-identifiable form for statistical purposes. Provisions that should survive termination (such as indemnification and limitation of liability) shall remain in effect.

11. Governing Law and Disputes

11.1 Governing Law

These Terms are governed by Norwegian law, without regard to conflict of law principles.

11.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes shall be resolved in the courts of Norway.

11.3 Consumer Rights

If you are a consumer, nothing in these Terms affects your statutory rights under Norwegian consumer protection laws.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and XFocus AS regarding the Service.

12.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

12.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

13. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be notified via email or Service announcement at least 30 days before taking effect. Continued use of the Service after changes constitute acceptance of the revised Terms.

For minor changes, we may update these Terms without notice. Check the "Last updated" date regularly.
